It is not my intention or my employer Sharesight Limited’s intention to give investment advice about any specific securities.  Any reference to a specific security should not be taken as advice pertaining to whether or not to acquire or dispose of that security and should not be relied upon as investment advice.

However, to the extent (if any) that either Sharesight or I are deemed by the Securities Markets Act 1988 to be providing investment advice, we are providing you with this disclosure statement to comply with our obligations under that Act and the Securities Markets (Investment Advisers and Brokers) Regulations 2007.

Experience

I do not have any experience as an investment adviser. However, I have worked in the chartered accountancy, banking and business consultancy industries for 35 years and over that time I have gained the following experience:

My employer, Sharesight Limited, has been operating as the provider of a share portfolio management service since 31/12/2007

Relevant qualifications

I have the following qualifications:

I have kept up to date the knowledge gained in obtaining those qualifications by attending relevant courses each year.

My employer, Sharesight Limited, does not have any relevant qualifications.

Membership of relevant professional body or bodies

I am a member of the following professional bodies:

My employer, Sharesight Limited, is not a member of any relevant professional bodies.

Professional indemnity insurance

I have no professional indemnity insurance.

Dispute resolution facilities

Neither my employer Sharesight Limited nor I make dispute resolution facilities available to our clients

Criminal convictions and related matters

During the previous 5 years, I:

  1. have not been convicted of an offence under the Securities Markets Act 1988, the Securities Act 1978, or of a crime involving dishonesty (as defined in section 2(1) of the Crimes Act 1961);
  2. have not been a principal officer of a body corporate that committed an offence referred to in para (a), when the body corporate committed the offence;
  3. have not been adjudicated bankrupt;
  4. have not been prohibited by an Act or by a court from taking part in the management of a company or business;
  5. have not been the subject of an adverse finding by a court in any proceeding that has been taken against me in my professional capacity;
  6. have not been expelled from, or prohibited from being a member of, a professional body.

During the previous 5 years, the principal officers of my employer, Sharesight Limited,

  1. have not been convicted of an offence under the Securities Markets Act 1988, the Securities Act 1978, or of a crime involving dishonesty (as defined in section 2(1) of the Crimes Act 1961);
  2. have not been a principal officer of a body corporate that committed an offence referred to in para (a), when the body corporate committed the offence;
  3. have not been adjudicated bankrupt;
  4. have not been prohibited by an Act or by a court from taking part in the management of a company or business;
  5. have not been the subject of an adverse finding by a court in any proceeding that has been taken against those principal officers in their professional capacity;
  6. have not been expelled from, or prohibited from being a member of, a professional body.

In addition, during the previous 5 years, my employer Sharesight Limited, has not been placed in statutory management or receivership.

Fees

Neither my employer Sharesight Limited, nor I, will receive any remuneration of any kind as a result of any investment advice that we may give or as a result of any transaction in connection with any such advice.  Should any person to whom we may give investment advice decide to use the share portfolio management service that Sharesight provides they will be charged on a subscription basis for that service as per the fees set out on the Sharesight home page.

Other interests and relationships

Neither my employer Sharesight nor I have any interest or relationship that a reasonable person would find reasonably likely to influence us in giving investment advice.

Details of securities about which advice is given

To the extent (if any) that my employer Sharesight Limited or I give investment advice it will be limited to advice relating to investment in the share market. However, neither Sharesight Limited nor I intend to give advice about any specific shares. Any reference to shares in a specific company should not be taken as advice pertaining to whether or not to acquire or dispose of shares in that company and should not be relied upon as investment advice.
